If you choose to use Business Support Hub website by creating a free account, logging on and or subscribing, then Business Support Hub will regard that use as conclusive evidence of your agreement and acceptance that these terms govern yours and Business Support Hub possessive rights and obligations to each other.

Amendment of Terms

Business Support Hub reserves the right to change these terms and conditions of use at any time and those changes shall take effect in respect of all subsequent paid or free uses by you, of the website. You should therefore check these terms every time before you use the website and only if you accept these terms should you proceed to access and the website.

Business Support Hub Does Not Give Legal Advice

Whilst information may have been prepared by experienced persons, this website is not intended to give you legal advice or provide you with any legal services; it is intended to provide you with a useful website platform only.

Different Laws and Changes to the Law

The law may be different in each state and territory of Australia. Also, the law regularly changes. Whilst Business Support Hub tries to keep up to date with these changes, this is not always practically possible, and updates may not be immediate. Business Support Hub recommends that you consult your legal practitioner where needed and before using any function of the system that may be contained within the Business Support Hub website. The use of the site is at your own risk.

Business Support Hub may provide on its website links to other websites and information about those websites for your convenience. This does not necessarily imply sponsorship, endorsement, or approval or an arrangement between Business Support Hub and the owners of those websites.

Competition and Consumer Act 2010 (Cth)

Business Support Hub provides all of the Consumer Guarantees contained in the Competition and Consumer Act to the extent to which they apply to this agreement between you and Business Support Hub but not otherwise. Nothing in these standard terms and conditions are intended to exclude any applicable Consumer Guarantees. Where the Consumer Guarantees do apply and there has been a breach of any of those Consumer Guarantees then Business Support Hub will rely on Section 64A of the Competition and Consumer Act.

Express Disclaimers

Subject to the provisions of the Competition and Consumer Act 2010 (Cth) and to the fullest extent permitted by law, Business Support Hub absolutely disclaims all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for any particular purpose. Business Support Hub gives no warranty that the system functions, that the information and system platform provided will be free of errors, or that defects will be corrected at a time specified by a subscriber, or even though it is highly unlikely, Business Support Hub website or its servers are free of viruses or any other harmful components. Business Support Hub does not warrant or make any representations regarding the use or the result of the use of any document, link, system function or information in its website or as to their correctness, suitability, accuracy, reliability, or otherwise. It is your sole responsibility and not the responsibility of Business Support Hub to bear any costs of servicing, repairs, or corrections of the content within the system but not the system itself. The applicable law in your state or territory may not permit these exclusions, particularly the exclusions of some implied warranties and in that event those exclusions do not apply and shall be deemed excised from these standard terms.

Your Privacy

Business Support Hub respects the privacy and confidentiality of the information provided by you and adheres to the national privacy principles established pursuant to the Privacy Act 1988 (Commonwealth). Please read our Privacy Policy carefully. Business Support Hub takes your privacy and ours very seriously. Your passwords are the most common way to prove your identity when using websites, email accounts and your computer itself (via User Accounts). The use of strong passwords is therefore essential in order to protect your security, identity and the information you add to Business Support Hub. The best security in the world is useless if any person has your legitimate user name and password. Never disclose your user name and password to anyone else. If you think that someone else knows your password, change it immediately through the “Forgot Password” Feature. Never should you provide access to your profile to someone else. To reduce the risk to yourself and to Business Support Hub, Your user account may be suspended or cancelled if we suspect that you are account sharing (Providing your user name and password with other people, businesses or companies that may or may not access your profile or details). You may change your details at any time by accessing your information through the system. All information Business Support Hub receives from its customers is protected by Business Support Hub secure servers. Business Support Hub secure server software encrypts all customer information. Furthermore, all of the customer data Business Support Hub collects is secured against unauthorised use or access. Credit card information is not stored by us on our servers.

Third Parties Can Not Use Your Information

Business Support Hub does not sell or deal in personal or customer information and will not pass on your personal information to a third party for their use. Business Support Hub may however use, in a general sense, without any reference to your name, your information to create marketing statistics, identify user demands and to assist it in meeting customer needs generally. Business Support Hub may use the information that you provide to improve its website and its services.

Business Support Hub May Disclose

Business Support Hub may disclose information where it is required to do so;

(i) by law or by any court;

(ii) to enforce the terms of any of our customer agreements;

(iii) to protect the rights, property or safety of Business Support Hub, its customers or third parties; or

(iv) to banks or financial institutions with the purpose of preventing fraud and as proof of any transaction. If this is the case business Support hub will request permission first.

Jurisdiction

This agreement and this website are subject to the laws of Australia and any applicable state. You agree to resolve any dispute arising from this agreement by independent mediation in Brisbane, Queensland, Australia. Should such mediation fail, you agree that disputes will be settled in the courts located in Brisbane, Queensland, Australia.

PAYG pricing

Pay per user per month subscription pricing is shown on the Business Support Hub web site. Or payments may differ and be by agreement between the person, business or company and Business Support Hub.

Copyright and Restriction of Use

You are not permitted to reproduce the system, system information or materials and functions of the Business Support Hub website for the purposes of conducting a business competitive with or similar to the business of Business Support Hub. Business Support Hub expressly reserves all rights in its website and all system functions on its web-based platform excluding the content that persons and or businesses and companies may contribute in developing, uploading and sharing.

Business Support Hub and or BSHub claims ownership of all the materials, workflows, and or coded systems ideas you may provide to or pay a sum of money to Business Support Hub or BSHub to add to the Business Support Hub website, or any other affiliated companies (affiliated companies means in this sense, a company that uses Business Support Hub website) owned or not by the Directors of Business Support Hub and or BSHub. This is limited to coded workflows and system functions used by Business Support Hub and or BSHub’s affiliated companies to use within the platform.

Business Support Hub and or BSHub does not and will not ever make a claim of ownership over persons own personal or organisational information that you may supply in the Business Support Hub platform. However, by providing workflows, coded information or system functions and or ideas paid to or not to Business Support hub and or BSHub’s affiliated companies for use within the Business Support Hub.com.au platform, you are granting Business Support Hub and or BSHub and or its affiliated companies owned or not by the Directors of Business Support Hub the necessary free sublicense permission to use the paid or not, coded workflows and system functions in connection with the operation of Business Support Hub’s Internet businesses, (including, without limitation, all Business Support Hub’s Services) the right to sublicense such rights to any supplier of the Services for a service fee. No compensation will be paid with respect to the use of your coded workflows or system functions, as provided herein. Business Support Hub is under no obligation to use any coded workflows or system functions you may provide, and Business Support Hub may remove any coded workflows or system functions or at any time in its sole discretion.

Trademarks and Restriction of Use

You are not permitted to use any trademarks, tradenames, graphics or designs that are on the Business Support Hub website. If you breach Business Support Hub trademarks, then Business Support Hub reserve the right to take legal action against you.

Exclusion of Competitors

If a principal part of your business is the retail sale, development, or use of document templates in electronic form to users in respect to your business, then you are a competitor of Business Support Hub. Business Support Hub expressly excludes and does not permit you to use or access its website to gain knowledge to reproduce, develop, download, or share any documents, system functions or information from its website to develop on your own or sell to a third party, or, to pass on to a third party for sale, any developed, downloaded documents, system functions or information from Business Support Hub. If you breach this term, then Business Support Hub will hold you fully responsible for any loss that it might sustain and further holds you accountable for all profits that you might make from such un-permitted and improper use.

The Business Support Hub Partner Program does allow a second party to sell the Business Support Hub website in their own capacity to third parties. This Partner Program must be agreed to by Both parties (Business Support Hub and the second party) via the Business Support Hub Partner application and contract form.

Right to Exclude

Business Support Hub reserves the right to exclude and not permit any person, business or company from using its website, function of, or any information contained on it.

Whole Agreement

These terms and conditions represent the whole agreement between you and Business Support Hub concerning your use and access to the Business Support Hub website and your use and access to the system functions on it. No other term is to be included in this agreement except where it is required to be included by any legislation of the Commonwealth or any State or Territory. All implied terms except those implied by statute and which cannot be expressly excluded are hereby expressly excluded.

Exclusion of Unenforceable Terms

Where any clause or term above would by any applicable statute be illegal, void, or unenforceable in any State or Territory then such a clause shall not apply in that State or Territory and shall be deemed never to have been included in these terms and conditions in that State or Territory. Such a clause if legal and enforceable in any other State or Territory shall continue to be fully enforceable and part of this agreement in those other States and Territories. The deemed

Excision of any term pursuant to this paragraph shall not affect or modify the full enforceability and construction of the other clauses of these terms and conditions.

Pricing

All prices are shown in Australian dollars ($AUD) and do not include 10% GST. Payments must be received in Australian currency. We reserve the right to amend our prices from time to time. Users outside Australia are not required to pay the 10% GST. The pricing structure can be found on the main Business Support Hub web site. All subscribed paying individual people, business and companies accessing and using the Business Support Hub system platform shall follow that pricing structure and these terms and conditions, unless, it has been agreed to by the Managing Directors of Business Support Hub that charges may be charged differently. If this is the case, the new charges will be by way of written agreement and signed by all parties that have the authority to do so. If any payments to Business Support Hub fail or are not made in time or at all, the access to Business Support Hub may be suspended or cancelled for any individual, business, company or all people attached to that account and that are using the Business Support Hub system platform.

Payment

Payment of your Business Support Hub subscription is due as to the agreed timing. This is either monthly or yearly. The payment method for your Business Support Hub subscription is by credit or debit card or by invoice. If paying by credit or debit card, payment is not received by Business Support Hub from the card issuer or its agents; you agree to pay all amounts due upon demand by Business Support Hub. Each time you use Business Support Hub or allow or cause Business Support Hub to be used, you agree and reaffirm that Business Support Hub is authorised to charge your designated card. Your card issuer agreement governs your use of your designated card in connection with Business Support Hub, and you must refer to such agreement (not this Agreement) with respect to your rights and liabilities as a cardholder.

Cancellation

You may cancel the Business Support Hub monthly subscription at any time. You will be billed until the end of the month that you have cancelled it in. Or, if a different payment arrangement has been agreed and entered, you will be billed until the end of that agreement. You can choose the opt out function within the system to cancel the subscription. All cancellation inquiries shall be requested by contacting and using this email; admin@bshub.com.au. Business Support Hub may suspend or cancel any free user account or subscription account that are not using the system platform as intended, or within good faith leaving the user, business, or company without any recourse action apart from those contained within these terms and conditions. If Business Support Hub suspects that a breach to these terms and conditions has been committed or, if account sharing is suspected (meaning one new user account is made and the details to that account is shared or made aware to more than the one person who made it), or, if the register a new user account is not completed correctly meaning, (a person’s first and last name has not been provided in the specific name area of the registration from), may lead to Business Support Hub to suspect that the business or company may not be intending to use the Business Support Hub system platform in the way it is intended and or in good faith.

Fair Use and Good Faith Policy

If the Business Support Hub system is used in the way it was designed and intended and in good faith as explained within these terms and conditions, it will allow for a useful platform to develop and capture information such as users names when, completing, signing, sharing, reviewing and approving forms and other documents and workflows such as the action register process. Business Support Hub does not charge per device, but instead charges individual named persons called user, manager, administrator and owner. The reason for this is so the user can access the system platform from any device which makes the system platform more convenient and accessible. Due to this way Business Support Hub charges, not using Business Support Hub in the way it was intended or in good faith, or, sharing of accounts is not allowed. Using Business Support Hub in the intended way should also reduce your current paper-based data storage system you are using now. Although Business Support Hub does not have any hard data storage limits, we will notify you if your system approaches the data storage level of 20 GB and will consult with you and provide data usage strategies to keep your data usage down. Users are permitted to build, download and upload 20 GB of data per-registered Company. If the usage is higher, Business Support Hub reserves the right to charge an additional fee of $3.00 AUD per GB over the nominated 20 GB. If Business Support Hub chooses to charge the above stated amount, the request will be made by manual invoice and you agree to pay all amounts as to the additional data used.

Free Users.

The intent of the Free User accounts is so subscribed and paid persons, businesses and companies can share and request up to two (2) documents at any one time for a Free Workforce User to complete, share up to two (2) risk documents for signing as well as sharing other documents to third parties for review and approval. A Free User is defined as, any person that does not have a company email issued to them that is the same as the company email or any subsidiary or owned companies of the BSH registered company in the first instance. It is expected that if a person has a company email provided to them, that is the same as the BSH registered company email or any subsidiary or owned companies of the BSH registered company, then that person/s should be a paid user when accessing and using the BSH Platform.

Credit Card Details

Credit Card Details for users are stored on secure servers for the purposes of charging the monthly fee. Upon cessation of your subscription all details will be deleted and no longer stored.
